Protección jurídica del contrato de know-how en el Ecuador

La legislación ecuatoriana en materia mercantil ha sufrido algunos cambios importantes en los últimos meses a partir de la vigencia del nuevo Código de Comercio. Esto, sin duda alguna, ha sido muy positivo para todos quienes de una u otra manera estamos vinculados al ámbito comercial. Entre las reformas que encontramos en esta nueva ley se encuentran reconocidas nuevas figuras contractuales, que responden a exigencias de un mercado que se encuentra en constante evolución. El Contrato de Know-how, aparece como un nuevo tipo de contrato mercantil y presenta una muy interesante regulación que merece ser objeto de análisis académico. Es por tal razón, que, a través del presente estudio, profundizaremos en primer lugar, en la importancia, concepto y características de esta figura contractual, con el objetivo de entender la autonomía y naturaleza jurídica de este contrato, que anteriormente solía ser objeto de confusión con otras instituciones; para luego, enfocarnos en el estudio de las diversas herramientas de protección del Know-how que encontramos en el ordenamiento jurídico ecuatoriano.Palabras clave: Know-how, contrato, competencia desleal, Derecho Mercantil, Derecho de la Competencia AbstractEcuadorian legislation on commercial matters has undergone some important changes in the last recent months as of the new Commercial Code. This, with no doubt, has been a very positive fact for all those who in some way are linked to the commercial sphere. Among the reforms we find in this new law that there are recognized new contractual figures, which respond to the demands of a market that is constantly evolving. The Know-how Contract appears as a new type of commercial contract and reports a very interesting regulation that deserves to be a subject of an academic analysis. It’s for this reason, that through this study, we will deepen in first instance, in the importance, concept and characteristics of this contractual figure, with the aim of understanding the autonomy and legal nature of this contract, which used to be the subject of confusion with other institutions; then, focus on the study of the several protection tools of the Know-how contract that we find in the ecuadorian legal system.
