| Izvleček: | Today is inevitable recognizing business enterprises, a difference that is noted on both the existence of civilians or undertakings not achieved by legislation supported. Just serve as a judge organizational structure to make it in the world of law through its corresponding organizer, individual or collective entrepreneur. This allows support the requirement for a recognized legal personality. The one-person limited liability companies are formed by a single natural person with the figure of limited liability, but not with the particular characteristics of the limited companies mentioned in the Companies Act. Thus, article 21 of the Law on Limited Liability Companies Unipersonales, he says, "The capital allocated to the one-person limited liability company shall be not less than the product of the multiplication of the unified minimum basic salary of the general worker, by ten." According to this provision to constitute a single-member limited liability company shall not be less than ten unified minimum basic pay, which is currently $ 318, the United States of America each, would be $ 3180, which goes against micro entrepreneurs who want to start in this kind of companies. Thus, the sole proprietorship limited liability is not designed for the application of a micro business, which should be the main thrust of the Act, since the essence of this company does not meet the needs of people who plan to create a sole proprietorship limited liability, the law should be changed making it more accessible to the corporate reality |
