Tóm tắt:The purpose of this work of curricular integration is to analyze in a doctrinal and legal way the abuse of the minority shareholders' right to vote and its legal effects in the decision making process in Ecuadorian capital companies, raising the question “How is the abuse of the veto right of minority shareholders in capital companies in Ecuador determined? In response to this question, the current regulations governing companies, do not typify the specific grounds for determining how and when the right to vote was abused from the perspective of minority shareholders in Ecuadorian capital companies. In order to achieve the proposed objectives, the methodology used was based on the descriptive, deductive, analytical, exegetical method and, in addition, the application of the qualitative approach, also linking descriptive and transversal research. Likewise, techniques of documentary theoretical collection, documentary observation and interviews were introduced, which was of benefit to be able to verify the diverse criteria of the actors involved in the Ecuadorian capital companies. Based on the results, relevant information was obtained on the research topic, evidencing that the causes should be considered to determine when there is abuse of the right to vote by minority shareholders in capital companies, and in turn, analyze the legal scope of the expressions cause damage and unjustified advantage.
