El presente trabajo de titulación pretende la elaboración de una pauta comprensible para el conocimiento de las Sociedades por Acciones Simplificadas (S.A.S.), necesarias para el estudio en la rama Societaria. En general, la investigación permite conocer la formación y desarrollo de las S.A.S. Su importancia radica en fomentar el conocimiento completo de las limitaciones de los socios o administradores de este tipo de sociedad. En este escrito abarcaré los antecedentes, planteamiento del problema, formulación del problema, objetivos y la justificación, la revisión documental y las bases legales sobre el problema en estudio, interrogantes de la investigación. De forma que, para el acceso didáctico a la información contenida en la presente investigación se presentan las consideraciones legales y doctrinales que permiten el correcto entendimiento de la institución. Este trabajo tiene énfasis en las limitaciones, procesos, constitución, transformación y disolución, capital, responsabilidad de los socios, limitación de responsabilidad. Además, también expondré conclusiones, recomendaciones y una propuesta Alternativa que se presenta para la solución del problema.
The present degree work aims to develop an understandable guideline for the knowledge of Simplified Stock Companies (S.A.S.), necessary for the study in the Corporate branch. In general, the research allows to know the formation and development of the S.A.S. Its importance lies in promoting complete knowledge of the limitations of the partners or administrators of this type of society. In this writing I will cover the antecedents, statement of the problem, formulation of the problem, objectives and justification, the documentary review and the legal bases on the problem under study, research questions. Thus, for didactic access to the information contained in this research, the legal and doctrinal considerations are presented that allow the correct understanding of the institution. This work has an emphasis on limitations, processes, constitution, transformation and dissolution, capital, partner liability, limitation of liability. In addition, I will also present conclusions, recommendations and an Alternative proposal that is presented for the solution of the problem.
