El presente documento académico tiene por objeto explicar la necesidad de la implementación de lo que se conoce como Gobierno Corporativo en las empresas consideradas grandes que estén sujetas a la Superintendencia de Compañías. Con miras a cumplir con este objetivo desarrollamos un análisis en donde nos encontraremos con los antecedentes de esta figura, es decir, lo que desencadenó su creación como solución a vicisitudes económicas o financieras dentro de las empresas a nivel mundial. Posteriormente nos encontraremos con el primer capítulo donde revisaremos las definiciones pertinentes, como el averiguar qué es un Gobierno Corporativo, qué se considera una grande empresa; luego dentro del segundo capítulo encontramos bajo una modalidad sucinta el marco legal ecuatoriano del Gobierno Corporativo, las etapas de la iniciativa de su aplicación, los beneficios de adoptar estas prácticas en las grandes empresas ecuatorianas, los problemas que enfrenta, el Gobierno Corporativo en el Derecho Comparado; y, finalmente llegamos a las respectivas conclusiones y recomendaciones.
The purpose of this academic document is to explain the need for the implementation of what is known as Corporate Governance in companies considered large that are subject to the Superintendence of Companies. With a view to fulfilling this objective, we developed an analysis where we will find the background of this figure, that is, what triggered its creation as a solution to economic or financial vicissitudes within companies worldwide. Later we will find the first chapter where we will review the relevant definitions, such as finding out what a Corporate Government is, what is considered a large company; then, within the second chapter, we find the Ecuadorian legal framework of the Corporate Governance, the stages of the initiative of its application, the benefits of adopting these practices in large Ecuadorian companies, the problems it faces, the Corporate Governance in Comparative Law; and finally we come to the respective conclusions and recommendations.
