El levantamiento del velo societario es una figura jurídica que está destinada a impedir que, atrás del formalismo jurídico que cumple un papel de escudo, se desarrollen ciertas actividades que vendrían a perjudicar terceras personas. Se emplea para ser una solución en aquellos abusos que cometen las personas naturales, usando de por medio a la compañía. Este levantamiento del velo societario solo puede admitirse de forma excepcional, por lo que quebranta la división natural que produce la compañía con sus socios o administradores, si se llega a generalizar, esto conllevaría a la destrucción del fin real que tiene la creación de las personas jurídicas. Los jueces son los encargados de resolver y determinar la responsabilidad de los socios, de que respondan con su patrimonio personal. Es imposible determinar todos los actos contrarios a la ley que pueden cometerse por medio de una compañía, no obstante, dentro de nuestra legislación contamos con ciertas instituciones como lo son el fraude de ley y el abuso del derecho, que abarcan de forma muy general los actos fraudulentos que pueden llegar a cometerse.
The lifting of the corporate veil is a legal figure that is intended to prevent certain activities that could harm third parties from behind the legal formalism that plays a shield role. It is used to be a solution in those abuses committed by natural persons, using the company in between. This lifting of the corporate veil can only be admitted in an exceptional way, so it breaks the natural division that the company produces with its partners or administrators, if it becomes generalized, this would lead to the destruction of the real purpose of the creation of legal personality. The judges are responsible for resolving and determining the responsibility of the partners, if they respond with their personal assets. It is impossible to determine all acts contrary to the law that can be committed through a company, however, within our legislation we have certain institutions such as law fraud and abuse of law, which cover very generally fraudulent acts that can be committed.
