El presente trabajo tiene como objetivo determinar si el derecho de atribución, posterior a un aumento de capital, puede ser renunciable o no y si este derecho afecta a la libertad de los accionistas y va en contra del principio de autonomía de la voluntad como requisito del derecho contractual. Para poder resolver el problema jurídico planteado en el presente trabajo, fue pertinente revisar en el capítulo primero que estudia el derecho societario, así como sus principios y el desarrollo del derecho societario en el Ecuador, también se analizaron los derechos fundamentales de los socios. Así mismo, se estudió la diferencia entre el derecho de preferencia y de atribución. En el capítulo segundo se revisa la importancia del nacimiento del derecho de atribución; de igual manera se analiza el contrato de suscripción de acciones junto con el principio de la autonomía de la voluntad, y la negociabilidad del derecho de atribución.
The main objective of this work is to determine whether the right of attribution, subsequent to a capital increase, can be waivable or not and whether this right affects the freedom of the shareholders and goes against the principle of free will as a requirement of contract law. In order to solve the legal problem raised in this work, it was pertinent to review in the first chapter the studies of the corporate law, as well as its principles and the development of corporate law in Ecuador, the fundamental rights of the partners were also analyzed. Likewise, the difference between the right of preference and the right of attribution was studied. In the second chapter, the importance of the birth of the right of attribution is reviewed; in addition, the share subscription contract is analyzed together with the principle of the autonomy of the will, and the negotiability of the right of attribution.
