La fusión de sociedades como su nombre lo indica busca unir empresas, mediante la cual se puede crear una nueva o varias personas jurídicas mercantiles, ya sea que la unión se dé entre dos entidades para crear una nueva persona jurídica, o bien la absorción de una o más empresas por otra que supervive. Esta figura jurídica societaria ha ido evolucionando en el transcurso del tiempo, creando nuevos tipos de posibilidades de fusión que se han ajustado de acuerdo con las necesidades de los empresarios. De la misma forma este año se ha implementado un nuevo tipo de fusión en conjunto con una nueva sociedad, esta nueva fusión abreviada es exclusiva de la sociedad por acciones simplificada a diferencia de las fusiones tradicionales que pueden ser realizadas por cualquier sociedad. El objetivo del presente trabajo es analizar esta fusión y plantear la posibilidad de aplicarla en los diferentes tipos de sociedades reconocidas por la Ley de Compañía, como podría ser una Sociedad Anónima.
The merger of companies, as its name indicates, seeks to unite companies, through which a new or several mercantile legal entities can be created, whether the union is between two entities to create a new legal entity, or the absorption of one or more companies by another that survives. This corporate legal figure has evolved over time, creating new types of merger opportunities that have been adjusted according to the needs of entrepreneurs. In the same way this year a new type of merger has been established in association with a new type of company, this new short-form merger is exclusive to the simplified stock company unlike the traditional mergers that can be carried out by any company. The purpose of this work is to analyze this kind of merger and to raise the possibility of applying it to the different types of companies recognized by the Law.
