En la actualidad la figura jurídica de las fusiones se ha vuelto un acto societario de carácter frecuente. Las diversas situaciones económicas han puesto a las compañías en la tarea de unirse para subsistir, este auge impulsa al campo societario a buscar la forma de realizar uniones de una manera ágil, siendo las fusiones abreviadas una plausible solución. Esta no es otra cosa que una variación de las fusiones tradicionales, que con su evolución, establecen un método mucho más simple para lograr la rápida fusión compañías. El objetivo de este trabajo es plantear el medio más idóneo para que las Compañías de Responsabilidad Limitada contemplen en su normativa la posibilidad de fusionarse a través de un proceso breve y sintetizado, del cual hoy sólo gozan las Sociedades por Acciones Simplificadas. Tal procedimiento no tendría que conllevar una serie de tediosos trámites que atrasen su fin y deberá ir de la mano de una regulación que beneficie a la materia de competencia y al gremio empresarial.
At present the legal figure of mergers has become a frequent corporate act, the various economic situations have put companies in the task of uniting to survive, this boom drives the corporate field to look for ways to make unions in an agile way, being short-form mergers a plausible solution, this is nothing more than a variation of traditional mergers, which with their evolution, establish a much simpler method to achieve the mergers of companies. The objective of this work is to propose the most suitable means for Limited Liability Companies to contemplate in their regulations the possibility of merging through a brief and synthesized process, which today only Simplified Stock Companies enjoy, such a procedure should not entail a series of tedious procedures that delay its end and must go hand in hand with a regulation that benefits the matter of competition and the business union.
