Este trabajo tiene como objetivo determinar si en el derecho ecuatoriano existe una contradicción entre lo establecido en el artículo 113 de la Ley de Compañías y el articulo 66 numeral 13 de la Constitución de la República del Ecuador. El tema en controversia está en que dicho articulado dispone que, para transferir participaciones dentro de la compañía limitada, se debe obtener el consentimiento unánime del capital social, lo cual estaría en contra del sentido negativo del Derecho de Asociación, contemplado en el artículo 20 de la Declaración Universal de los Derechos Humanos, el cual establece que toda persona tiene derecho a la libertad de asociación y nadie podrá ser obligado a pertenecer a alguna de estas. En virtud de esto entraremos a analizar si las disposiciones de la actual Ley de Compañías restringen el derecho de asociación consagrado por la Constitución, impidiendo que la mera voluntad del individuo sea suficiente para retirarse de la compañía.
The purpose of this work is to determine if there is a contradiction in Ecuadorian law between what is established in article 113 of the Companies Law, and the Constitution of the Republic of Ecuador. The controversial issue is that said article provides that in order to transfer shares within the limited company, unanimous consent of the share capital must be obtained, which would be against the negative sense of the Right of Association, contemplated in article 20 of the Universal Declaration of Human Rights, which states that everyone has the right to freedom of association and no one may be forced to belong to any of these. Because of this we will analyze if the provisions of the current Companies Law restrict the right of association, preventing the mere will of the individual from being sufficient to withdraw from the company.
