La institución del administrador de hecho es de vital importancia para poder comprender el concepto de un administrador de manera integral. Las acciones del administrador determinan la buena gestión de la compañía. La implementación de la Sociedad Anónima Simplificada SAS en el ordenamiento jurídico ecuatoriano introduce interesantes modificaciones, entre estas, reconoce con claridad la noción jurídica de la administración de hecho. La figura del administrador de hecho se presenta en la administración atribuida a las personas que, en una perspectiva material y sin estar formalmente nombradas como administradores, quienes actúan bajo la cobertura de un amplio poder para administrar, o bien incluso sin él, ejercen de modo efectivo la administración de la sociedad. Para su fundamentación, esta investigación presentará los supuestos de aplicación del Derecho Comparado, específicamente con la legislación española, extrayendo así, doctrina acerca de la institución, jurisprudencia acerca de los casos ocurridos con sus debidas resoluciones que podrán ser usadas en temas futuros.
The institution of the administrator in fact is of vital importance to be able to understand the concept of an administrator in a comprehensive way. The administrator's actions determine the good management of the company. The implementation of “Sociedad Anónima Simplificada SAS” in the Ecuadorian legal system introduces interesting modifications, among these, it clearly recognizes the legal notion of de facto administration. This figure appears in the administration attributed to people who, from a material perspective and without being formally appointed as administrators, who act under the cover of a broad power to administer, or even without it, exercise in an effective management of the company. For its foundation, this research will present the cases of application of Comparative Law, specifically with Spanish legislation, thus extracting doctrine about the institution, jurisprudence about the cases that occurred with their due resolutions that may be used in future topics.
