El presente trabajo de titulación está enfocada en la implementación de un reglamento para la limitación de responsabilidades de los administradores en una Sociedad por Acciones Simplificadas, siendo un nuevo tipo societario innovador por su flexibilidad y simplicidad en su constitución, el tema principal del trabajo permite crear una compañía con un objeto social indeterminado, agregado en la reforma. Los límites de la responsabilidad del administrador, por el posible abuso de sus facultades está establecido en nuestra ley societaria, al crearse las sociedades por acciones simplificadas, deja la interrogante si es posible o no cumplir con las actividades para el interés social de la compañía creada, y cuáles serían los riesgos para el administrador por ser el encargado de celebrar actos o contratos con terceros por no detallar las operaciones mercantiles licitas que la compañía va desarrollar en su actividad comercial.
This degree work is focused on the implementation of a regulation for the limitation of responsibilities of administrators in a Simplified Stock Company, being a new innovative corporate type due to its flexibility and simplicity in its constitution, the main theme of the work allows to create a company with an undetermined corporate purpose, added in the reform. The limits of the responsibility of the administrator, for the possible abuse of his powers is established in our corporate law, when the simplified stock companies are created, it leaves the question of whether or not it is possible to comply with the activities for the social interest of the company created , and what would be the risks for the administrator for being in charge of entering into acts or contracts with third parties for not detailing the licit commercial operations that the company will carry out in its commercial activity.
